1. What These Terms Cover
These Payment Terms govern payments made to Oak & Eagle Solutions LLC ("Oak & Eagle," "we," "us"), an Alabama limited liability company, through our payment processor, Stripe. By completing a checkout, paying an invoice, or starting a subscription with us, you agree to these terms.
Your service agreement comes first. The services themselves are governed by your signed agreement with us: a Master Services Agreement and Statement of Work, a Retainer Addendum, or a written quote. If these Payment Terms ever conflict with that agreement, your agreement wins. These terms only govern how the payment itself works.
2. What You May Be Paying For
- Project deposits. Projects begin with a deposit (typically 50% of the fixed price). Work does not begin until the deposit is received. Deposits are credited in full toward your project and are non-refundable, except as your service agreement provides.
- Project balances. The remaining balance is due at delivery, as defined in your Statement of Work or quote.
- Website builds. One-time builds are billed at the fixed price in your written quote, with the same deposit and balance structure unless the quote says otherwise.
- Monthly retainers and subscriptions. Recurring services bill monthly, in advance, at the price shown when you subscribe.
3. Recurring Billing Authorization
When you start a retainer or subscription, you authorize Oak & Eagle to charge your saved payment method the stated amount each month, in advance, until you cancel. The amount and billing frequency are shown at checkout before you subscribe. If a scheduled charge fails, we may retry it and will notify you.
Cancelling: cancel any time with thirty (30) days' written notice (an email to contact@oakandeaglesolutions.com is enough). Cancellation takes effect at the end of your final paid month; your services, and any systems we host for you, remain live through that date, and you receive a standard-format export of your data. We do not prorate or refund partial months, except as Section 4 provides.
4. Refunds
- Deposits are non-refundable but fully credited to your project. If a project is cancelled, your service agreement governs what is owed and credited.
- Delivered work follows the acceptance process in your service agreement: report any nonconformity within the review period and we correct it at no charge.
- Approved refunds go back to the original payment method, typically within 5 to 10 business days.
5. Late and Failed Payments
Amounts unpaid thirty (30) days after the due date accrue interest at 1.5% per month or the highest lawful rate, whichever is less. We may pause work, including retainer services, while amounts are past due, as your service agreement provides.
6. Disputes and Chargebacks: Talk to Us First
If you believe a charge is wrong, contact us before disputing it with your bank: contact@oakandeaglesolutions.com. We respond within one business day and we fix genuine billing errors immediately, that is what the refund process above is for.
Initiating a chargeback on a valid charge, without first giving us a reasonable opportunity to resolve it, is a material breach of these terms. In that case we may suspend services while the dispute is open, and you are responsible for the disputed amount plus dispute fees and reasonable costs we incur if the chargeback is resolved in our favor.
7. Payment Processing and Your Card Data
Payments are processed by Stripe, Inc. We never see or store your full card number; Stripe handles your payment credentials under its own terms and privacy policy. All prices are in U.S. dollars. You are responsible for any sales or use taxes if assessed.
8. General
These terms do not expand any warranty or create any liability beyond your service agreement, and the warranty disclaimers and liability limits in that agreement apply to all payments. We may update these Payment Terms prospectively; the version in effect when you pay is the one that applies to that charge, and material changes to recurring billing are notified before your next charge. Alabama law governs; venue is Lee County, Alabama. If any provision is unenforceable, it is reformed to the maximum enforceable scope and the rest stands.
